An NDA is established when one party will gain access to another party's sensitive information. In the NDA, the parties agree that certain information will stay between them and not be shared with anyone else. This may involve trade secrets such as product development, research or information that the company wants to keep to itself.
NDAs can be either unilateral or mutual. If the agreement is unilateral, only one of the two parties commits to confidentiality. If the agreement is mutual, both parties commit to confidentiality towards one another.
Unilateral NDAs are used when a company hires someone or hires a consultant, or when someone pitches a business idea to investors. In all cases, a third party will gain access to sensitive information. The NDA ensures that the sensitive information does not fall into the wrong hands or is misused.
Someone who commits to confidentiality may not reveal or share sensitive information with anyone else. Nor are they to use the information other than in accordance with the terms of the NDA.
